These Terms & Conditions ("Terms") govern your use of the services provided by Corpys ("we", "us", or "our"), accessible via corpys.com and related platforms. Corpys provides company formation, ongoing compliance, bookkeeping, accounting, and banking facilitation services for businesses incorporating in Hong Kong, the United States, the United Kingdom, and Singapore.

By accessing our website or purchasing any service, you agree to be bound by these Terms. If you do not agree, please do not use our services.

2. Services

Corpys offers the following core services:

• Company Formation: End-to-end incorporation including name reservation, document preparation, government filing, registered agent setup, share structure configuration, and tax ID registration in supported jurisdictions.
• Compliance & Legal: Annual return filing, statutory record maintenance, director and shareholder updates, business licence renewals, corporate secretary services, and regulatory monitoring.
• Bookkeeping & Accounting: Monthly bookkeeping, multi-currency accounting, financial statement preparation, tax return preparation, payroll processing, and audit support.
• Banking & Payments: Business bank account opening assistance, KYC document preparation, banking partner introductions, payment gateway integration, and multi-currency account setup.

3. Client Responsibilities

By using our services, you agree to:

• Provide accurate, complete, and up-to-date personal and business information as required for incorporation and regulatory filings.
• Cooperate fully with Know Your Customer (KYC) and Anti-Money Laundering (AML) verification processes, including providing valid identification documents.
• Comply with the laws and regulations of the jurisdiction(s) in which your company is formed and operates.
• Respond promptly to requests for information or documentation needed to complete government filings and maintain compliance.
• Notify us of any changes to your business structure, directors, shareholders, or registered address in a timely manner.

4. Fees & Payment

Service fees are displayed on our website at the time of purchase and vary by jurisdiction and service package. All payments are processed securely through Stripe. Prices are listed in the currency specified at checkout.

Government filing fees, registry charges, and third-party costs are separate from our service fees and are non-refundable once paid to the relevant authority. Subscription-based services (compliance monitoring, bookkeeping) are billed on the recurring interval specified at checkout.

5. Service Delivery

Timelines for company formation vary by jurisdiction and are subject to government processing times beyond our control. Typical processing times are:

• Hong Kong: 1–5 business days
• United States (Delaware): 1–3 business days
• United Kingdom: 1–2 business days
• Singapore: 1–3 business days

These timelines are estimates only. Delays may occur due to government backlogs, public holidays, incomplete documentation, or additional verification requirements imposed by regulatory authorities.

6. Intellectual Property

You retain full ownership of your incorporated company and all associated business assets. Corpys retains ownership of the platform, software, website content, designs, and proprietary processes used to deliver our services. You may not copy, reproduce, or redistribute any part of the Corpys platform without prior written consent.

7. Limitation of Liability

Corpys is a business services provider and does not provide legal, tax, or financial advice. Our services facilitate incorporation and compliance processes but do not substitute for professional legal or accounting counsel.

We are not liable for delays caused by government authorities, inaccurate information provided by clients, regulatory changes, or circumstances beyond our reasonable control. Our total liability for any claim arising from or related to our services shall not exceed the fees paid by you for the specific service giving rise to the claim.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

9. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms. We encourage you to review this page periodically.
